School Sport Made Easy (“SSME”) is owned by Sideline Sports Australia Pty Ltd ABN: 94 617 884 474 (“we, “us”, “our”, or “Supplier”).
We respect your privacy and are committed to protecting our clients information. These Terms of Service contain the terms and conditions that govern all use of SSME, all content, and services provided by us.
The SSME product is offered to you subject to your acceptance, without modification (other than Special Terms (as defined below) agreed by the parties pursuant to these Terms of Service), of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, our Privacy Policy), the Guidelines (as defined below) and any future modifications thereof, and procedures that may be published from time to time on SSME or made available to you on or through us. When accepted by you (as defined below), these Terms form a legally binding contract between you and Supplier (as defined below). If you are entering into these Terms on behalf of an entity, such as your employer or the company you work for, you represent that you have the legal authority to bind that entity.
PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, AND/OR OTHERWISE USING SSME, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT ACCESS, BROWSE OR OTHERWISE USE SSME.We may, at our sole discretion, elect to suspend or terminate access to SSME to anyone who violates these Terms.
If you register for a free trial of SSME, the applicable provisions of these Terms will govern that free trial.
Definitions
“we, “us”, “our”, or “Supplier”
School Sport Made Easy as owned by Sideline Sports Australia Pty Ltd ABN: 94 617 884 474.
SSME
The School Sport Made Easy App.
Client
A school or organisation that has received valid logins to SSME.
Client Information
The data provided by the Client to us on our Client Information form.
Client Agreement
The document supplied by us to the Client defining the number of Valid Logins, date range in which those logins can be used, and Fee that is charged by us to the Client.
Account
Any fees associated with the supply of SSME to the Client.
Valid Login
A login to SSME provided by us and limited to the period defined in the Client Agreement.
User
Any person accessing SSME on their phone or tablet via a Valid Login.Valid Login DetailsThe information provided to a User by us to access SSME.
User Data
Any personal information collected by us about a User.
Content
Everything available to the Client and Users in SSME.
Fee
The amount charged by us to the Client as defined in the Client Agreement.
Free Trial
Temporary access for the purposes of trying out SSME without paying a fee.
Special Terms
Any particulars, specifications and conditions by which the parties have agreed to deviate from these Terms; and included in the Client Agreement.
SSME
The App product supplied by us to the Client.
Website
The compilation of all web documents (including images, php and html files) made available via www.schoolsportmadeeasy.com.au and any sub domains owned by us.
Authority to Enter into These Terms with Supplier
The use of SSME is subject to acceptance of these Terms. To accept these Terms for itself or on behalf of a client, a person must have the legal capacity to do so. In the case of an individual, the individual must be at least 16 years of age or have valid authorisation from his/her legal representative or custodian. In the case of a school or other organisation, it must be a legal entity, or part of a legal entity. The Terms are accepted electronically. Once accepted, these Terms remain effective until terminated as provided for herein.
Modifications to Terms
Supplier reserves the right, at its sole discretion, to change, modify, add, or remove portions of the Terms at any time by posting such changes on or through the website. Please check these Terms periodically for changes. Your continued use of SSME after such changes have been posted as provided above constitutes your binding acceptance of such changes. Such amended Terms will automatically be effective upon the earlier of (i) your continued use of SSME, or (ii) 30 days from posting of such modified Terms on our website. Notwithstanding the foregoing, the resolution of any dispute that arises between you and Supplier will be governed by the Terms in effect at the time such dispute arose.
Supplier Responsibilities
Provisions of Sideline Services
Supplier will (a) make SSME available to a Client and User pursuant to these Terms, (b) provide applicable standard support for SSME to Client and User at no additional charge, (c) use commercially reasonable efforts to make SSME available 24 hours a day, 7 days a week, except for: (i) planned downtime , and (ii) any unavailability caused by circumstances beyond Supplier's reasonable control, including, for example, hardware failure, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem, Internet service provider failure or delay, or denial of service attack.
Protection of User Data
Supplier will maintain administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of User Data, as described in the Guidelines. Those safeguards will include, but will not be limited to, measures for preventing access, use, modification or disclosure of User Data by Supplier personnel except (a) to provide our services and prevent or address service or technical problems, (b) as compelled by law, or (c) as a User expressly permit. The Supplier will inform the User of changes in such processors in accordance with the procedure of modifying these Terms as stipulated in section 3 of these Terms.
Providing Client Support
Every Client is provided with access to our SSME Tutorials via our website. Online and phone support is provided by us to the Client on occasions when the SSME Tutorials do not provide answers to the Clients questions.
Client Responsibilities
Establishing a Client Agreement
The Client must ensure they complete the Client Information form accurately. The Client Information data becomes part of the Client Agreement document. A Client Agreement takes effect for the period specified within the Client Agreement document.
Updating Client Information
The Client is responsible for informing us of any changes to the Client Information within 28 days of the change. Changes include, but not limited to: (1) Number of students enrolled; (2) Number of Valid Logins required; (3) A User leaving the Client.
Establishing Valid Logins
The Client is responsible for identifying each User in the Client Information so we can provide them with separate Valid Login Details. A User is responsible for keeping all their Valid Login Details confidential.
Authorised & Unauthorised use of a Valid Login
A User is authorised to make use of SSME at any time in any scenario, with the exception of during any work that is external to the Client. A User is not authorised to receive any form of commercial benefit outside the use of SSME within their role for the Client. A User may allow other people to use SSME on the Users device provided the User ensures that use does not include any form of commercial benefit to anyone.The Client must inform us with 14 days of any disclosure, loss or unauthorised use of any Valid Login.
Accessing Customer Support
The Client is obligated to seek answers to any questions via our SSME Tutorials prior to contacting us for support.
Termination of Valid Login
The Client must inform us within 14 days of any User who is no longer in a role with the Client. Any User who is no longer in a role with the Client may have their Valid Login terminated immediately by us.
Account Terms
Free Trial
There are no fees associated with a Free Trial. A Client will receive a Free Trial following the signing of a Client Agreement. That Client Agreement will be identical to every other Client Agreement with the exception that no fees will be charged. Therefore all Terms and Conditions and Privacy apply to Free Trial periods.
Fee
The Fee charged by us to the Client will be based on the quote provided by us to the Client.
Payment of Fee
We will invoice the Client for the fee. The client is responsible for paying the invoice within 28 days. Details of how to pay the fee will be on the invoice.
Rights
Free Trial
There are no fees associated with a Free Trial. A Client will receive a Free Trial following the signing of a Client Agreement.
